The information contained in this Expression of Interest (EOI) document, or subsequently provided to interested parties, whether verbally or in documentary or any other form by or on behalf of the Concessionaire (hereinafter referred to as the "Management"), is provided to the Respondent(s) on the terms and conditions set out in this document and any other terms and conditions subject to which such information is provided.

Non-Binding Invitation: This EOI is not an agreement, an offer, or an undertaking by the Management to enter into a contract or lease. It constitutes merely an invitation for submission of interest from prospective transporters, commercial operators, and retail concessionaires for the lease/license of shops, commercial offices, passenger amenities, and transport terminal facilities.

Independent Due Diligence: The information provided in this document does not purport to be comprehensive or to contain all the information that an interested party may require. Each Respondent must conduct its own independent investigation, technical assessment, legal evaluation, and financial due diligence of the site, traffic patterns, regulatory frameworks, and market feasibility. The Management makes no representation or warranty (express or implied) as to the accuracy, reliability, or completeness of the information contained herein and accepts no responsibility or liability for any errors, misstatements, or omissions.

"As-Is, Where-Is" Condition: All physical assets, including retail shops, ticketing counters, cargo offices, bus bays, and operational spaces, are offered strictly on an "as-is, where-is, and whatever-there-is" basis. Respondents are encouraged to visit and inspect the physical infrastructure, utilities, access routes, and boundary limits at the terminal premises prior to submitting their response.

Right to Accept, Reject, or Annul: The Management reserves the absolute right, without assigning any reason or incurring any financial or legal liability whatsoever, to:
- Accept or reject any or all responses received under this EOI.
- Cancel, suspend, terminate, or modify the entire EOI process, in whole or in part, at any stage.
- Amend, add, modify, or delete any conditions, schedules, technical specifications, or spatial allocations via formal addenda/corrigenda.
- Directly negotiate with one or more respondents or alter the subsequent bidding structure.

Cost of Participation: The Respondent shall bear all costs, expenses, and liabilities associated with the preparation, submission, site inspection, demonstrations, and discussions related to this EOI. Under no circumstances will the Management, its directors, officers, consultants, or employees be responsible or liable for any direct, indirect, or consequential costs incurred by any participant, regardless of the conduct or outcome of the process.

Governing Law and Jurisdiction: This EOI and any subsequent proceedings arising out of or in connection with it shall be governed by and interpreted in accordance with the applicable laws of India. The courts located at Indore, Madhya Pradesh, shall have exclusive jurisdiction over any disputes arising under or in relation to this document.
