The information contained in this Expression of Interest (EOI)
document, or subsequently provided to interested parties, is
provided to the Respondent(s) on the terms and conditions set out
below:

Non-Binding Invitation:
This EOI is not an agreement, an offer, or an undertaking by
Management to enter into a contract or lease. It constitutes
merely an invitation for submission of interest.

Independent Due Diligence:
Each Respondent must conduct its own independent
investigation, technical assessment, legal evaluation, and
financial due diligence of the site and market feasibility.

"As-Is, Where-Is" Condition:
All physical assets (retail shops, ticketing counters,
offices, bus bays) are offered strictly on an "as-is,
where-is, and whatever-there-is" basis.

Right to Accept, Reject, or Annul:
Management reserves the absolute right to accept/reject any
response or cancel/suspend the process at any stage.

Cost of Participation:
Respondent shall bear all costs and expenses associated with
preparation, submission, site inspection, and discussions
related to this EOI.

Governing Law & Jurisdiction:
Governed by the laws of India. Courts located at Indore,
Madhya Pradesh shall have exclusive jurisdiction.
